Welcome to Job Ready Computing. By engaging our services or using our website (https://jrc.nz), you agree to the following Terms of Service. Please read them carefully.
1. Scope of Services
Job Ready Computing ("we," "us," or "our") provides IT support, cloud workspace setup (Microsoft 365, Google Workspace), data backup solutions, and website design/hosting for small businesses in New Zealand. The specific services to be delivered will be outlined in your chosen package or a custom quote.
2. Pricing and Payment
- GST: All prices listed on our website or quoted to you are in New Zealand Dollars (NZD) and exclude Goods and Services Tax (GST), which will be charged in addition to the payment.
- Deposits: We require a deposit of 15% of the quoted price prior to the commencement of work.
- Payment Terms: Invoices submitted by the Contractor to the Client are due within 30 days of receipt.
- Monthly & Ad-Hoc Plans: Monthly Care Plans, hosting, and software licences are billed on a recurring monthly basis. Additional support outside of your agreed package is billed at our standard hourly rates. We reserve the right to suspend services if accounts are significantly overdue.
3. Independent Contractor & Sub-contracting
- In providing services, it is expressly agreed that we are acting as an independent contractor and not as an employee. This agreement does not create a partnership or joint venture between us.
- We may, at our absolute discretion, engage a third-party sub-contractor to perform some or all of our obligations under this agreement.
4. Intellectual Property
All intellectual property and related material, including relevant registrations or applications for registration, and rights in any copyright or trade name that is developed or produced under our agreement, will be the sole property of the Client. The use of the Intellectual Property by the Client will not be restricted in any manner.
5. Confidentiality
We agree that we will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which we have obtained, except as authorised by the Client or as required by law. The obligations of confidentiality will apply during our active service term and will survive indefinitely upon termination.
6. Client Responsibilities
- Access & Content: For web design and IT setup, you agree to provide us with the necessary access, passwords, and final content (text, images) in a timely manner. Delays in providing this may delay your project.
- Security: While we implement robust security measures, you are responsible for keeping your individual passwords secure and notifying us immediately if you suspect a security breach.
7. Web Design and Hosting
- Revisions: Web design packages include a set number of revision rounds during the design phase. Major changes requested after the site is launched may incur additional ad-hoc charges.
- Hosting & Maintenance: Our monthly Website Care Plans cover standard hosting, SSL certificates, and background software updates.
- Third-Party Platforms: For E-commerce sites, you are subject to the terms and conditions of the chosen platform (e.g., Shopify or WooCommerce).
8. Data Backup and IT Support
- Third-Party Outages: We utilize industry-leading cloud providers (Google, Microsoft, cloud backup servers). We cannot be held liable for downtime, data loss, or service interruptions caused directly by outages from these third-party vendors.
- Data Recovery: Our automated backup solutions are designed to protect your data. However, technology can fail. We make every reasonable effort to ensure backups run successfully and to assist with data recovery, but we cannot guarantee 100% recovery in all disaster scenarios.
9. Limitation of Liability & Indemnification
To the maximum extent permitted by New Zealand law, Job Ready Computing shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, data, or business opportunities arising out of the use or inability to use our services. You agree to indemnify and hold us harmless against any claims, losses, or damages resulting from any act or omission on your part.
10. Consumer Guarantees Act 1993
As our services are acquired for business purposes, you agree that the provisions of the New Zealand Consumer Guarantees Act 1993 do not apply to the services provided by Job Ready Computing.
11. Termination
- Partial Performance: In the event that our agreement is terminated by the Client prior to completion of the Services but where the Services have been partially performed, we will be entitled to pro-rata payment to the date of termination.
- Monthly Subscriptions: You may cancel your monthly services (such as Care Plans or Backup Plans) by providing us with 30 days' written notice, unless a minimum term (e.g., 12 months) was specified in your package.
- We reserve the right to terminate services immediately if you breach these terms or engage in illegal activities using our infrastructure.
12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of New Zealand.
